Terms of Service
These Terms of Service (the “Terms”) govern access to and use of the MaxxShow platform, applications, and related services (collectively, the “Service”) provided by [Company Legal Name], a company registered at [Registered Address] (“MaxxShow”, “we”, “us”). By installing the MaxxShow app, creating an account, or using the Service, you (“Merchant”, “you”) agree to be bound by these Terms. If you use the Service on behalf of a company, you represent that you have authority to bind that company.
1. The Service
MaxxShow is a live shopping software-as-a-service platform that enables merchants to host shoppable livestreams and replays on their own e-commerce storefronts. The Service includes, among other features: a live shopping page created on your storefront; live event scheduling and management; a live room editor and viewer experience; livestream ingestion via RTMP-compatible tools; shoppable replays with product chapters; and analytics and order attribution reporting.
We may improve, modify, or discontinue features of the Service over time. Where a change materially reduces the core functionality you have subscribed to, we will provide reasonable advance notice.
2. Accounts and eligibility
- You must provide accurate, complete registration information and keep it up to date.
- You are responsible for all activity under your account and for safeguarding your credentials and stream keys.
- You must be at least 18 years old and legally able to enter into contracts.
- You may not use the Service if you are barred from doing so under applicable law.
3. Store platform integrations
The Service integrates with third-party commerce platforms, including Shopify. By connecting your store, you authorize MaxxShow to access and process store data — such as products, variants, inventory, pages, and orders — to the extent necessary to provide the Service, in accordance with our Privacy Policy.
Your use of a commerce platform remains subject to that platform's own terms and policies. We are not responsible for the acts, omissions, or availability of third-party platforms, and an interruption of a platform's APIs may affect the Service.
4. Merchant content and livestreams
“Merchant Content” means all content you or your hosts create, upload, or stream through the Service, including live video, replays, product information, images, text, and chat prompts.
- You retain all ownership rights in your Merchant Content.
- You grant MaxxShow a worldwide, non-exclusive, royalty-free license to host, store, process, transcode, distribute, and display Merchant Content solely as needed to operate and provide the Service (for example, delivering your livestream to viewers and generating replays).
- You are solely responsible for your Merchant Content, including its accuracy, legality, and compliance with advertising, consumer-protection, and product-safety laws in the markets you sell to.
- You must have all rights, licenses, and consents necessary for the content you stream, including music, trademarks, and the on-camera participation of your hosts.
5. Viewer interactions and notifications
The Service allows your viewers to chat, react, subscribe to notifications, and purchase during livestreams and replays. You are the controller of your viewer relationships and are responsible for:
- obtaining any consents required to send email notifications to your subscribers;
- honoring opt-outs and unsubscribe requests without undue delay; and
- moderating chat and user interactions in your live rooms in line with applicable law.
6. Acceptable use
You agree not to, and not to permit any third party to:
- use the Service for any unlawful, deceptive, or fraudulent purpose, or to sell prohibited or illegal products;
- stream content that is infringing, defamatory, obscene, hateful, or that exploits or endangers minors;
- interfere with or disrupt the integrity or performance of the Service, or attempt to gain unauthorized access to it;
- reverse engineer, copy, resell, or sublicense the Service except as expressly permitted;
- use the Service to send unsolicited communications in violation of anti-spam laws; or
- misrepresent products, pricing, or availability to viewers.
We may suspend or terminate access for violations of this section, with notice where practicable.
7. Fees
Fees for the Service, if any, are set out in the plan or order form you agree to at purchase, or as otherwise agreed with us in writing. Except where required by law or expressly stated, fees are non-refundable. We will give you reasonable advance notice of changes to pricing applicable to your subscription.
8. Intellectual property
The Service — including its software, design, and documentation, and the MaxxShow name and logo — is owned by MaxxShow or its licensors and is protected by intellectual-property laws. Except for the limited rights expressly granted in these Terms, no rights in the Service are transferred to you. Feedback you provide may be used by us without restriction or obligation.
9. Data protection
Each party will comply with applicable data-protection laws. Our collection and processing of personal data in connection with the Service is described in our Privacy Policy. Where MaxxShow processes personal data of your viewers on your behalf, we do so as your processor or service provider under your instructions as reflected in these Terms and any applicable data-processing addendum.
10. Third-party services
The Service may interoperate with third-party tools you choose to use (for example, streaming software such as OBS, or messaging carriers for notifications). Your use of those tools is governed by their own terms, and we are not responsible for them.
11. Availability and support
We work to keep the Service available and performant, but the Service is provided on an “as available” basis and interruptions may occur, including for maintenance, upgrades, or events beyond our reasonable control. Support channels and response targets, if any, are described in your plan or order form.
12. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAXXSHOW DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT WILL ACHIEVE ANY PARTICULAR SALES OR CONVERSION OUTCOME.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA; AND (B) MAXXSHOW'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO MAXXSHOW FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
14. Indemnification
You will defend and indemnify MaxxShow against third-party claims arising from your Merchant Content, your products, your violation of these Terms, or your violation of applicable law, including claims by viewers or customers relating to products sold through your livestreams.
15. Term, suspension, and termination
- These Terms apply from your first use of the Service until terminated.
- You may terminate at any time by uninstalling the app and closing your account.
- We may suspend or terminate the Service for material breach, security risk, or as required by law, with notice where practicable.
- Upon termination, your right to use the Service ends. Provisions that by their nature should survive (including Sections 8, 12–14, and 16) survive termination. We will make your Merchant Content available for export for a reasonable period after termination, unless prohibited by law.
16. Governing law and disputes
These Terms are governed by the laws of [Governing Jurisdiction], without regard to conflict-of-laws rules. The courts of [Venue] have exclusive jurisdiction over disputes arising from these Terms, unless applicable law requires otherwise.
17. Changes to these Terms
